This Organizational License Agreement (“Agreement”) is between CLU LLC (“CLU,” “we,” or “us”) and the purchasing entity (“Organization,” “Client,” “you,” or “your”). By purchasing course access for multiple learners, you agree to the terms below.
1. License Grant CLU grants your organization a limited, non-exclusive, non-transferable license to assign course seats to designated learners for internal professional development and compliance purposes. Seats may not be shared, transferred after activation, or used for group instruction unless explicitly approved in writing by CLU.
2. Seat Assignment & Access Period
• Each seat is assigned to one user only.
• Each user receives their own login.
• Seat access begins upon activation and lasts for the access term purchased (e.g., 3 or 12 months).
Unused seats expire at the end of the contract term.
3. Internal Use Only Courses may be used solely for training your employees, contractors, or affiliated professionals. Public display, resale, redistribution, or educational reuse is prohibited.
4. Intellectual Property CLU owns all rights, title, and interest in the course materials including but not limited to videos, scripts, activities, assessments, downloads, and course structure. Organizations may not adapt, copy, host, embed, broadcast, or integrate CLU content into internal LMS systems without written permission.
5. Reporting & Certificates Each learner will receive:
• Individual course access
• Progress tracking
• Their own Certificate of Completion
Certificates may not be altered or duplicated. CLU may provide the organization with periodic completion reports, if requested.
6. Payment Terms All invoices are due according to the terms stated (typically net 15 or net 30). Payments are non-refundable. Adjustments for additional seats or extensions may be purchased separately.
7. Data Privacy & Security CLU collects only the learner information necessary to provide course access. Learner data is kept confidential and is not shared or sold. Organizations may request data deletion upon contract completion.
8. Support CLU provides technical support via email. Organizations may purchase enhanced support packages if needed.
9. Prohibited UsesOrganizations may not:
• Stream a single login for group use
• Download or host content internally
• Reverse-engineer or replicate CLU material
• Use the course to deliver training to external clients or unrelated third parties
10. Warranty & Disclaimer Courses are provided “as is” for educational purposes. CLU does not guarantee regulatory acceptance for licensure; requirements vary across states and professions.
11. Limitation of Liability CLU is not liable for indirect, incidental, or consequential damages including lost revenue, fines, or disciplinary actions related to compliance.
12. Governing Law This Agreement is governed by the laws of the State of New York. By purchasing multi-seat access, your organization agrees to this Agreement.
